EngagePath Terms and Conditions

Welcome to EngagePath, a collection of products offered by Full Scale LLC ("Full Scale," "we," "us," "our"). These Terms and Conditions ("Terms") govern your use of:

  • The EngagePath Chrome Extension
  • The EngagePath SaaS platform
  • The EngagePath website (https://EngagePath.com)

By accessing or using EngagePath, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.

1. Definitions

  • "Service(s)" – The products, tools, and features provided by EngagePath, including the Chrome Extension and SaaS platform.
  • "User(s)" – Anyone accessing or using EngagePath, including both registered and non-registered users.
  • "Chrome Extension" – The browser extension designed to integrate with third-party platforms and enhance productivity.
  • "SaaS Platform" – The cloud-based software service accessible through our website.

2. Customer Data

A. Overview

Your privacy is important to us. EngagePath is committed to protecting your personal information and ensuring transparency in how we collect, use, and safeguard your data. By using EngagePath, you consent to the data collection, processing, and sharing practices outlined in our Privacy Policy. If you do not agree with our data practices, you must discontinue use of EngagePath.

B. Information We Collect

EngagePath may collect the following types of data when you use our services:

  • Personal Information: Name, email address, phone number, billing details (if applicable).
  • Usage Data: Browser type, IP address, session duration, and device identifiers.
  • Interaction Data: Features used, engagement with third-party integrations, and user preferences.
  • Third-Party Data: Information from linked accounts or external services that integrate with EngagePath.

The EngagePath Chrome Extension may request access to browser tabs, clipboard data, or other browser features only as necessary to deliver its intended functionality, and only with your permission.

C. How We Use Your Information

EngagePath processes your data for purposes including, but not limited to:

  • Providing and improving services – Ensuring EngagePath functions effectively, customizing user experiences, and optimizing performance.
  • Communication – Sending account notifications, service updates, and marketing messages (where applicable).
  • Security & Compliance – Detecting fraud, enforcing our Terms, and complying with legal obligations.
  • Third-Party Integrations – If you connect EngagePath with other platforms, we may process data as required for integration functionality.

D. Data Protection & Security Measures

We implement industry-standard security protocols to protect user data, including:

  • Encryption – Secure transmission of data via SSL/TLS.
  • Access Controls – Restricted employee access to personal data.
  • Regular Audits – Ongoing assessments to prevent unauthorized access or breaches.

E. User Rights & Control

Users may have certain rights under applicable privacy laws, including:

  • Access & Correction – Request copies of stored personal data and make corrections.
  • Opt-Out – Disable marketing communications or limit data collection for analytics.
  • Account Deletion – Request removal of personal data and account deactivation.

3. Eligibility

A. Minimum Age Requirement

To use EngagePath, you must:

  • Be at least 18 years old (or the legal minimum age in your jurisdiction, if higher).
  • If under 18, you must have verifiable parental or guardian consent to use EngagePath.
  • If required by law in your jurisdiction, you must be of an older age to enter into a legally binding contract without parental consent.

B. Legal Capacity to Enter into an Agreement

By using EngagePath, you confirm that:

  • You have the full legal capacity to enter into a contract under applicable laws.
  • You are not barred from using the service under any applicable laws or court orders.
  • You are using EngagePath in compliance with all applicable laws and regulations.

If you are using EngagePath on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

C. Restrictions Based on Location

You may not use EngagePath if:

  • You are located in a country that is subject to U.S. government embargoes or legal restrictions.
  • You are a resident of a country where EngagePath's services are prohibited by law.
  • You are subject to export control restrictions or appear on a U.S. government watchlist.

D. Compliance with Local Laws

You are responsible for ensuring that:

  • Your use of EngagePath complies with all local, state, and national laws applicable in your region.
  • You do not use EngagePath for illegal, fraudulent, or unauthorized purposes.
  • You do not use EngagePath in a manner that violates intellectual property, privacy, or security laws in your country.

E. Prohibited Users and Activities

The following users are not eligible to use EngagePath:

  • Individuals or entities previously banned from using EngagePath.
  • Users engaging in fraudulent, deceptive, or harmful activities.
  • Automated bots, scrapers, or unauthorized software programs attempting to access EngagePath services.

EngagePath reserves the right to refuse service, suspend accounts, or take legal action against users violating these eligibility requirements.

4. Account Registration

A. Account Creation & Accuracy of Information

To access certain features of EngagePath, you may be required to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Keep your account details up to date and promptly correct any inaccuracies.
  • Not create an account on behalf of someone else without authorization.
  • Not use false identities, impersonate others, or provide misleading information.

B. Account Security & Responsibilities

You are solely responsible for maintaining the confidentiality and security of your login credentials. You agree to:

  • Not share your password or allow others to access your account.
  • Use a strong password and update it periodically to prevent unauthorized access.
  • Immediately notify us at support@EngagePath.com if you suspect unauthorized access to your account.
  • Log out after each session if accessing EngagePath from a shared or public device.

C. Restricted Use by Competitors

By creating an account and accessing EngagePath, you agree that you are not:

  • A competitor of EngagePath or Full Scale LLC.
  • Using EngagePath for the purpose of researching, evaluating, or developing a competing product, service, or feature.
  • Collecting or extracting data from EngagePath for competitive analysis or benchmarking.
  • Engaging in any activity that directly or indirectly supports a competing service or business.

D. Account Ownership & Transfers

  • Your account is personal and non-transferable.
  • You may not sell, rent, lease, or assign your EngagePath account to another person or entity.
  • EngagePath reserves the right to reclaim inactive or abandoned accounts after an extended period of inactivity.

E. Suspension & Termination of Accounts

We reserve the right to suspend or permanently terminate accounts at our discretion if:

  • You violate these Terms or applicable laws.
  • You engage in fraudulent, abusive, or harmful activity.
  • Your account remains inactive for an extended period (subject to our data retention policies).
  • You are found to be using EngagePath for competitive intelligence or product development purposes.
  • We receive multiple reports of violations or misconduct from other users.

5. Acceptable Use Policy

By using EngagePath, you agree to adhere to this Acceptable Use Policy to ensure the security, integrity, and lawful use of the platform.

A. Permitted Use of EngagePath

You may use EngagePath only for lawful purposes and in compliance with these Terms. Acceptable uses include:

  • Personal or business productivity – Engaging with EngagePath tools for workflow optimization, automation, and data management.
  • Third-party integrations – Using EngagePath only within the guidelines of authorized integrations and API policies.
  • Non-commercial use (where applicable) – If using a free or trial version, you may not monetize the platform beyond its intended use case.
  • Complying with all applicable laws, regulations, and third-party agreements when using EngagePath.

B. Prohibited Uses

You may not use EngagePath to:

  1. Engage in Illegal, Fraudulent, or Harmful Activity
    • Violate any local, state, national, or international laws.
    • Engage in fraud, deceptive practices, or misrepresentation.
    • Transmit or distribute malware, viruses, ransomware, or other malicious software.
  2. Interfere with or Disrupt the Platform
    • Overload, disrupt, or interfere with the servers, networks, or systems of EngagePath.
    • Circumvent, disable, or tamper with security features or access restrictions.
  3. Harvest, Scrape, or Misuse Data
    • Collect, store, or distribute personal information of other users without consent.
    • Scrape data from EngagePath or use automated tools to extract content.
    • Mine or collect data from third-party platforms via EngagePath without permission.
  4. Violate Privacy, Intellectual Property, or Confidentiality Rights
    • Upload, share, or distribute content that infringes on copyrights, patents, trademarks, or trade secrets.
    • Share confidential or proprietary information belonging to EngagePath, other users, or third parties without authorization.
  5. Engage in Competitive Intelligence or Unauthorized Monitoring
    • Competitors may not use EngagePath to evaluate, copy, or reverse-engineer features.
    • Use EngagePath to analyze industry trends or extract market intelligence for competing products or services.
  6. Use EngagePath for Harassment, Abuse, or Unethical Conduct
    • Engage in harassment, hate speech, or offensive behavior.
    • Send spam, phishing emails, or unsolicited promotional messages.
    • Use EngagePath in a manner that causes reputational harm to Full Scale LLC or third parties.

C. Enforcement & Consequences

Violation of this Acceptable Use Policy may result in:

  • Warning Notices – EngagePath may issue a warning if a violation is detected.
  • Account Suspension or Termination – Repeated or severe violations may result in immediate account suspension or permanent termination without refund.
  • Legal Action – EngagePath reserves the right to pursue legal remedies for damages or unauthorized access.
  • Reporting to Authorities – If required by law, EngagePath may report violations to government authorities or regulatory bodies.

D. Reporting Violations

If you become aware of any misuse, abuse, or violations of this Acceptable Use Policy, you should immediately report them to support@EngagePath.com.

6. Confidentiality

A. Definition of Confidential Information

For the purposes of these Terms, "Confidential Information" refers to any non-public information disclosed by either party that is:

  • Marked or identified as confidential, proprietary, or sensitive.
  • Reasonably expected to be considered confidential based on the nature of the information.
  • Provided in written, electronic, or verbal form, including data, reports, business strategies, and user content.

Confidential Information includes, but is not limited to:

  • Business plans, product roadmaps, and technical specifications
  • User data and content submitted through EngagePath's SaaS platform or Chrome Extension
  • Source code, software algorithms, APIs, and non-public product features
  • Financial information, pricing structures, and non-public business transactions
  • Discussions, feedback, or negotiations between the parties regarding services

B. Obligations of Confidentiality

Each party agrees to protect and maintain the confidentiality of all disclosed information and:

  1. Use Confidential Information only for the purpose of providing or receiving EngagePath services.
  2. Not disclose, distribute, or share Confidential Information with any unauthorized individuals or entities.
  3. Take reasonable precautions to prevent unauthorized disclosure or misuse.
  4. Restrict access to Confidential Information to employees, contractors, or third parties who need access for service-related purposes and who are bound by confidentiality obligations.
  5. Not modify, reverse-engineer, or exploit Confidential Information for any purpose beyond its intended use.

C. Security Measures

Full Scale LLC implements commercially reasonable security measures to protect user data and Confidential Information, including:

  • Encryption protocols for data transmission and storage.
  • Access controls and authentication measures to prevent unauthorized access.
  • Regular audits and monitoring to detect and mitigate security vulnerabilities.
  • Non-disclosure agreements (NDAs) with employees, contractors, and third-party service providers handling Confidential Information.

D. Exceptions to Confidentiality

Confidentiality obligations do not apply if disclosure is required due to:

  • Legal, regulatory, or court orders compelling disclosure.
  • Government or law enforcement requests, where disclosure is required by law.
  • Prevention of fraud, security breaches, or illegal activity, where EngagePath reasonably believes disclosure is necessary.

E. Duration of Confidentiality Obligations

Confidentiality obligations remain in effect for as long as the disclosed information remains confidential. These obligations shall no longer apply if the Confidential Information becomes publicly available through no fault or breach of the receiving party.

F. Violations and Remedies

If Confidential Information is improperly disclosed or misused:

  1. The affected party may seek injunctive relief to prevent further disclosure or damage.
  2. Legal action may be pursued for damages resulting from a breach of confidentiality.
  3. EngagePath reserves the right to suspend or terminate accounts of users found violating confidentiality terms.

7. Third-Party Services and Integrations

A. Use of Third-Party Services

EngagePath may integrate with, interact with, or rely on third-party services, including but not limited to:

  • Social media platforms (e.g., LinkedIn, Twitter, Facebook)
  • Cloud storage and productivity tools (e.g., Google Drive, Dropbox, Microsoft OneDrive)
  • Payment processors (e.g., Stripe, PayPal)
  • Marketing, CRM, and analytics platforms (e.g., HubSpot, Salesforce, Google Analytics)

When you choose to integrate or connect EngagePath with third-party services, you acknowledge and agree that:

  • EngagePath is not responsible for the functionality, availability, or security of third-party services.
  • Your use of third-party services is governed by their respective terms and privacy policies.
  • EngagePath does not control and is not liable for any updates, modifications, or disruptions in third-party services.

B. Third-Party Data Sharing and Access

By enabling third-party integrations within EngagePath, you grant EngagePath permission to:

  • Access and transmit data between EngagePath and the third-party service as necessary to provide the integration.
  • Store certain non-sensitive data required for maintaining the integration.
  • Modify or process data as required for the intended functionality of the integration.

C. Third-Party Service Disruptions and Limitations

EngagePath cannot guarantee:

  • Continuous availability of third-party integrations, as they may change, be deprecated, or be discontinued by their respective providers.
  • Data accuracy or completeness when retrieved from third-party services.
  • Uninterrupted API access, as third-party services may impose rate limits, access restrictions, or service outages beyond EngagePath's control.

D. User Responsibilities When Using Third-Party Services

When utilizing third-party integrations with EngagePath, you agree to:

  • Ensure your use complies with the terms and conditions of the third-party service.
  • Not engage in automated scraping, data harvesting, or violations of third-party API policies.
  • Independently review privacy and data security practices of third-party services before enabling integrations.

E. Termination of Third-Party Integrations

EngagePath reserves the right to modify, restrict, or discontinue third-party integrations at any time, with or without notice, if:

  • The third-party service modifies its API or terms in a way that conflicts with EngagePath's operations.
  • A security vulnerability or risk is detected within the integration.
  • EngagePath determines that continued integration is not in the best interest of its users or business.

F. Liability Disclaimer for Third-Party Services

EngagePath provides access to third-party services on an "as-is" and "as-available" basis and makes no warranties, express or implied, regarding their reliability, security, or performance. By using third-party integrations, you acknowledge that:

  • EngagePath is not responsible for service failures caused by third-party providers.
  • EngagePath cannot guarantee data accuracy, compliance, or security of third-party services.
  • Your decision to use third-party integrations is at your own risk.

8. Payments and Subscriptions

A. Free and Paid Features

EngagePath offers both free and paid features, and certain functionalities may require a subscription or one-time purchase.

  • Free-tier users may have limited access to EngagePath's services.
  • Paid subscriptions unlock additional features, higher usage limits, and premium support.
  • Pricing, feature availability, and usage limitations are outlined on our official website.

B. Subscription Plans and Billing

Subscriptions are billed on a recurring basis (e.g., monthly or annually) depending on the plan you select.

  • Automatic Renewal: Unless canceled, your subscription will automatically renew at the end of each billing cycle.
  • Payment Methods: EngagePath accepts major credit cards, debit cards, and third-party payment processors (e.g., Stripe, PayPal).
  • Billing Cycle: The subscription period begins on the date of purchase and continues until canceled.

C. Changes to Subscription Fees

EngagePath reserves the right to adjust subscription prices, billing structures, or feature availability at any time.

  • If a price change affects your active subscription, we will notify you in advance via email or in-app notification.
  • Continued use of EngagePath after price adjustments constitutes acceptance of the new pricing.
  • If you do not agree to a price increase, you must cancel your subscription before the next billing cycle.

D. Cancellations and Refunds

  • User-Initiated Cancellations: You may cancel your subscription at any time through your account settings or by contacting support@EngagePath.com.
  • Effect of Cancellation: Cancellation prevents future billing but does not provide a refund for the remaining period.
  • Refund Policy: Refunds are not guaranteed and are issued only at EngagePath's discretion. Refund requests must be made within 7 days of the original purchase.

No refunds will be provided for:

  • Partial months or unused portions of a subscription period.
  • Promotional, discounted, or trial-based subscriptions.
  • Cancellations made after the renewal date.

E. Failed Payments & Account Suspension

  • If a payment fails or is declined, EngagePath may suspend access to paid features until payment is successfully processed.
  • Users will receive a grace period to update payment details before suspension takes effect.
  • EngagePath reserves the right to terminate accounts for repeated payment failures or fraudulent chargebacks.

F. Taxes and Additional Charges

All subscription fees exclude applicable taxes unless stated otherwise.

  • Users are responsible for paying any local, state, or international taxes that apply based on their jurisdiction.
  • If required by law, EngagePath may collect and remit taxes on your behalf.

G. Trials and Promotional Offers

EngagePath may offer free trials, discounts, or promotional pricing at its discretion.

  • Trial accounts automatically cancel at the end of the trial period unless upgraded before the trial ends.
  • EngagePath reserves the right to modify or revoke trials at any time.
  • Users who previously used a trial may not be eligible for additional trials.

H. No Chargebacks or Payment Disputes

By purchasing a subscription, you agree not to initiate chargebacks with your bank or payment provider.

  • If you believe you were charged incorrectly, you must contact EngagePath support first to resolve the issue.
  • Unauthorized chargebacks may result in immediate account termination and legal action.

I. Payment Disputes and Resolution

  • If you experience billing issues, contact support@EngagePath.com before disputing charges with your bank.
  • EngagePath will make reasonable efforts to resolve disputes related to overcharges or billing errors.
  • If a dispute results in a chargeback, EngagePath reserves the right to recover the disputed amount and restrict future purchases.

9. Term and Termination

A. Term of Agreement

These Terms remain in effect as long as you:

  • Use the EngagePath Chrome Extension, SaaS platform, or other services.
  • Maintain an active account with EngagePath.
  • Comply with these Terms and Conditions.

B. Termination by You

You may terminate your account at any time by:

  • Uninstalling the Chrome Extension, which removes locally stored data.
  • Deleting your account through your account settings (if applicable).
  • Sending a written request to support@EngagePath.com to request account deletion.

Upon termination:

  • You lose access to any premium or subscription-based features.
  • Refunds will not be issued unless explicitly stated in Section 8.
  • Your data may be deleted. EngagePath retains user data for a standard period of 60 days following account termination before permanent deletion.

C. Termination by Full Scale LLC (EngagePath)

We reserve the right to suspend or terminate your access to EngagePath, with or without notice, if:

  • You violate these Terms or engage in any prohibited activities.
  • You engage in fraudulent, illegal, or abusive activity.
  • You fail to pay for a subscription or cancel a required payment method.
  • Your use of EngagePath violates third-party platform policies.
  • Your account remains inactive for an extended period.
  • We determine that your account poses a security risk to EngagePath, its users, or its infrastructure.

D. Immediate Termination for Critical Violations

In cases of severe violations, EngagePath may take immediate action, including:

  • Suspending your account without prior warning.
  • Blocking access to the EngagePath platform and associated services.
  • Notifying relevant authorities if required by law.

E. Effect of Termination

Upon termination:

  • Your rights to use EngagePath immediately cease.
  • Any locally stored data (for Chrome Extension users) may be deleted upon uninstalling the extension.
  • We may retain certain user data for legal compliance, fraud prevention, or internal record-keeping.
  • Termination does not relieve you of any outstanding payment obligations or liabilities incurred before termination.

F. Data Retention and Deletion

  • We may retain user data after account termination if required by law, regulatory compliance, or legitimate business purposes.
  • Certain data may be permanently deleted upon account termination, and recovery will not be possible.
  • If you wish to request permanent deletion of all associated data, you must submit a formal request to support@EngagePath.com.

G. Survival of Terms

Certain provisions survive termination, including:

  • Confidentiality (Section 6)
  • Intellectual Property Rights (Section 10)
  • Limitation of Liability (Section 11)
  • Indemnification (Section 12)
  • Governing Law & Dispute Resolution (Section 13)

10. Intellectual Property

A. Ownership

All content, technology, software, features, and functionality available through EngagePath—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software—are the exclusive property of Full Scale LLC or its licensors.

EngagePath and all related branding, including product names, logos, and service marks, are protected by trademark, copyright, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of EngagePath's Services or included content unless you have written permission from Full Scale LLC.

You acknowledge that:

  • No ownership rights are transferred to you through the use of EngagePath.
  • You are granted a limited, non-exclusive, revocable license to use EngagePath in accordance with these Terms.
  • Any feedback, suggestions, or ideas you submit about EngagePath may be used by Full Scale LLC without any obligation to compensate you.

B. User-Generated Content

Users may submit content through EngagePath services, including but not limited to text, images, comments, links, and other materials. By submitting content, you acknowledge and agree that:

  1. Ownership & Rights: You retain ownership of any intellectual property rights in the content you submit.
  2. License Grant: You grant Full Scale LLC a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to use, store, modify, distribute, publicly display, perform, and create derivative works from such content for the purpose of operating, improving, and marketing EngagePath's services.
  3. User Responsibilities: You represent and warrant that you have the necessary rights to provide the content and that it does not infringe on third-party rights.
  4. Prohibited Content: You agree not to submit content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, misleading, or otherwise objectionable.
  5. Moral Rights Waiver: To the extent permitted by law, you waive any moral rights or rights of attribution regarding your submitted content.

C. Third-Party Intellectual Property

EngagePath may display or integrate third-party content, trademarks, or services. All third-party intellectual property rights remain the property of their respective owners.

Users must comply with the terms of service and intellectual property policies of any third-party platforms accessed through EngagePath. Full Scale LLC is not responsible for any unauthorized use of third-party intellectual property by users.

D. Copyright Infringement & DMCA Compliance

If you believe that content on EngagePath infringes on your copyright or other intellectual property rights, you may submit a Digital Millennium Copyright Act (DMCA) claim by contacting us at support@EngagePath.com with the following information:

  • A detailed description of the copyrighted work being infringed.
  • Identification of the infringing material and its location on EngagePath.
  • Your contact information (name, address, email, and phone number).
  • A statement that you have a good-faith belief that the use of the material is unauthorized.
  • A declaration, under penalty of perjury, that the information provided is accurate and that you are the copyright owner or an authorized representative.

E. Termination for Intellectual Property Violations

If a user is found to be infringing on EngagePath's or a third party's intellectual property, Full Scale LLC reserves the right to:

  • Suspend or terminate the user's account without prior notice.
  • Take legal action to protect its intellectual property rights.
  • Cooperate with authorities or affected parties in investigating intellectual property violations.

11. Limitation of Liability

A. No Indirect, Incidental, or Consequential Damages

To the maximum extent permitted by law, Full Scale LLC and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, business, or anticipated savings.
  • Loss of data or content, including any stored or transmitted through EngagePath's Services.
  • Loss of goodwill or reputation.
  • Service interruptions, system failures, or technology malfunctions.
  • Unauthorized access to, use of, or alteration of your transmissions or data.

B. Maximum Liability Cap

In no event shall the aggregate liability of Full Scale LLC and its affiliates exceed the total amount paid by you for EngagePath's services in the twelve (12) months preceding the claim. If you have not made any payments to Full Scale LLC for use of the Services, Full Scale LLC's total liability shall not exceed $100 USD.

C. User Assumption of Risk

By using EngagePath, you acknowledge and agree that:

  1. You use the Service at your own risk. Full Scale LLC provides EngagePath on an "as-is" and "as-available" basis, without warranties of any kind.
  2. We do not guarantee uninterrupted or error-free access. Service disruptions, downtime, or delays may occur due to maintenance, cyberattacks, third-party services, or other factors outside our control.
  3. We are not responsible for third-party content or actions. EngagePath may integrate with third-party services, and you acknowledge that Full Scale LLC is not liable for the conduct, content, or policies of external providers.

D. Exclusions and Limitations by Jurisdiction

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you. However, in such cases, Full Scale LLC's liability shall be limited to the maximum extent permitted by applicable law.

E. Indemnification and Responsibility for Third-Party Claims

If a third party brings a claim against Full Scale LLC due to your actions, misuse of EngagePath, or violations of these Terms, you agree to indemnify and hold Full Scale LLC harmless from all damages, losses, and expenses, as described in Section 12 (Indemnification).

12. Indemnification

You agree to defend, indemnify, and hold harmless Full Scale LLC, its affiliates, officers, directors, employees, agents, licensors, service providers, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including but not limited to reasonable attorneys' fees and legal costs) that arise from or relate to:

  1. Your violation of these Terms.
  2. Your use or misuse of EngagePath.
  3. Your violation of any applicable laws, regulations, or third-party rights.
  4. User-generated content you submit through EngagePath.
  5. Any fraud, intentional misconduct, or gross negligence committed by you or individuals accessing EngagePath through your account.

A. Full Scale LLC's Right to Control Defense

Full Scale LLC reserves the right, at its own expense, to assume exclusive control of any defense that would otherwise be subject to indemnification by you. If this occurs, you agree to:

  • Cooperate fully with our defense efforts.
  • Provide any necessary documents or evidence.
  • Refrain from making statements or taking actions that may harm our defense.

B. Indemnification Procedure

  1. If Full Scale LLC becomes aware of a claim subject to indemnification, we will provide prompt written notice to you.
  2. You must respond in a timely manner and assume the defense, unless Full Scale LLC elects to handle it directly.
  3. You may not settle or resolve any claim involving Full Scale LLC without our prior written consent.

C. Exclusions from Indemnification Obligations

You are not required to indemnify Full Scale LLC for claims arising from:

  • Our own negligence, fraud, or intentional misconduct.
  • Any modifications we make to EngagePath that lead to third-party claims unrelated to your usage.
  • Disputes arising solely between you and another user of EngagePath without Full Scale LLC's involvement.

13. Governing Law & Dispute Resolution

A. Governing Law

These Terms, as well as any dispute arising from or related to EngagePath, shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law principles.

By using EngagePath, you agree that any legal claim or dispute you may have against Full Scale LLC must be resolved under the laws of Nebraska and shall not be subject to the laws of any other jurisdiction.

B. Venue and Jurisdiction

For any dispute that requires legal proceedings, you agree that such disputes shall be exclusively brought before the state or federal courts located in Nebraska, United States. Both parties irrevocably consent to the exclusive jurisdiction of these courts for any legal claim arising under these Terms.

You further waive any objections to the jurisdiction, venue, or convenience of these courts, including arguments based on forum non conveniens.

C. Good Faith Negotiation Before Legal Action

Before initiating legal action, both parties agree to attempt in good faith to resolve any disputes through direct negotiation. If a dispute arises, the complaining party must provide written notice describing the dispute and proposed resolution. The responding party shall have thirty (30) days to attempt a resolution.

If no resolution is reached within this period, either party may proceed with legal action in accordance with these Terms. Before filing a lawsuit, both parties agree to attempt non-binding mediation as an additional step to resolve disputes amicably.

D. No Class Actions

By using EngagePath, you agree that any disputes must be resolved on an individual basis and may not be brought as part of a class action, consolidated action, or representative proceeding.

Each party waives the right to participate in any class-action lawsuit or to bring claims on behalf of a broader group of users.

E. Time Limitation for Claims

To promote timely resolution of disputes, any claim or legal action must be filed within one (1) year from the date the dispute arose. Failure to bring a claim within this period shall result in the claim being permanently barred.

F. Equitable Relief

Nothing in this section shall prevent Full Scale LLC from seeking injunctive relief, equitable relief, or specific performance in court to prevent unauthorized use of its intellectual property, confidential information, or proprietary rights.

14. Changes to These Terms

A. Right to Modify Terms

Full Scale LLC reserves the right to update, modify, or revise these Terms at any time. Changes may be made to reflect new features, comply with legal requirements, address security updates, or improve clarity.

We will make reasonable efforts to notify users of material changes, but it remains your responsibility to review these Terms periodically for updates.

B. Notification of Changes

If we make significant modifications to these Terms, we may notify users using one or more of the following methods:

  1. Posting an updated version of the Terms on our website at https://EngagePath.com.
  2. Sending an email notification to registered users.
  3. Displaying an in-app notification within the EngagePath platform.

For minor updates that do not materially affect your rights or obligations, we may post the revised Terms without direct notification.

C. Effective Date of Changes

Unless otherwise stated, changes to these Terms take effect immediately upon posting. Continued use of EngagePath after the updated Terms become effective constitutes your acceptance of the changes.

If you do not agree with the modifications, you must discontinue use of EngagePath and, if applicable, terminate your account.

D. Changes to Pricing, Subscriptions, or Features

In addition to general changes to these Terms, we may also update:

  • Subscription plans and pricing. If pricing changes impact active users, we will provide at least 30 days' advance notice via email or in-app notification.
  • Service features or limitations. We may introduce new features, discontinue services, or adjust functionality.
  • Third-party integrations. If a third-party service changes its policies, we may modify or discontinue integration with EngagePath.

E. User Responsibility to Stay Informed

By continuing to use EngagePath after updates to these Terms, you acknowledge and agree that:

  • You have reviewed and accepted the most recent version of the Terms.
  • You understand that failure to review changes does not exempt you from compliance.
  • If you disagree with the updated Terms, your sole remedy is to discontinue use of EngagePath.

F. Retaining Prior Versions

We may retain an archive of previous versions of these Terms for transparency. If required, you may request a copy of an earlier version by contacting support@EngagePath.com.
